1. Agreement to Terms
By accessing or using Food System Terminal (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Platform.
These Terms apply to all users of the Platform, including but not limited to food waste providers, material processing operators, municipalities, and other stakeholders in the circular bioeconomy.
2. Description of Service
Food System Terminal provides a digital platform that:
- Connects food waste streams with circular economy outlets
- Facilitates marketplace transactions for biomass and related products
- Provides optimization tools for feed formulation and production planning
- Offers compliance and ESG reporting capabilities
- Delivers data analytics and forecasting services
3. Account Registration
To access certain features of the Platform, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans
Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- Prices are subject to change with 30 days' notice
- Payment must be made via accepted payment methods
Plan Changes
You may upgrade or downgrade your subscription at any time. Changes take effect at the start of the next billing cycle. Downgrades may result in loss of access to certain features.
Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access until that date.
5. Marketplace Transactions
The Platform facilitates transactions between buyers and sellers. You acknowledge that:
- We are not a party to any transaction between users
- All transaction terms are between buyer and seller
- You are responsible for compliance with all applicable laws and regulations
- We do not guarantee the quality, safety, or legality of items listed
- Disputes must be resolved directly between parties
Users must ensure all materials meet applicable food safety, waste handling, and environmental standards.
6. User Conduct
You agree not to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Post false, misleading, or fraudulent content
- Interfere with the Platform's operation
- Attempt unauthorized access to systems or data
- Use automated systems to access the Platform without permission
- Harass, abuse, or harm other users
- List prohibited or illegal materials
7. Intellectual Property
The Platform and its original content, features, and functionality are owned by Food System Terminal and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of content you submit but grant us a worldwide, non-exclusive license to use, display, and distribute your content in connection with the Platform.
8. Data and Analytics
The Platform provides data analytics and reporting services. You acknowledge that:
- Analytics are based on available data and algorithms
- Results may not be 100% accurate or complete
- You should verify critical information independently
- We aggregate and anonymize data for platform improvements
- Compliance reports are tools, not legal advice
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, secure, or error-free. We do not warrant the accuracy, completeness, or reliability of any content or data.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOOD SYSTEM TERMINAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.
Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Food System Terminal and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform or violation of these Terms.
12. Termination
We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Platform will cease immediately.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the European Union and applicable member state laws, without regard to conflict of law provisions.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
